Copy-paste warranty clauses are where uniform buyers lose the most. Warranty start date, undefined 'quality defects', and unassigned repair costs — here are the three traps and a ready-to-use clause checklist.

Warranty clauses in uniform contracts are usually copied from templates: "12-month warranty, free repair for quality problems." When a real dispute arrives, three traps surface one after another. Here is how to close each one.

Trap 1: Warranty start date is undefined

The supplier counts warranty from the shipment date; the buyer assumes it starts at acceptance. With inspection, logistics, warehouse intake, and internal distribution in between, one to two months can evaporate from the warranty window.

Fix: "Warranty runs 12 months from the date of acceptance; the buyer completes acceptance within 7 working days of receipt, after which the goods are deemed accepted." This protects both sides. For split deliveries, each batch starts its own warranty clock.

Trap 2: "Quality problem" has no quantified definition

An employee reports shirts deforming after two washes; the supplier blames improper laundering. Without quantified standards, nobody can adjudicate.

Fix — define each dispute category in the contract:

Trap 3: Repair costs and deadlines are unassigned

The supplier agrees to repair 5% defective units — but demands the buyer pay return freight, and the repaired goods arrive two months late.

Fix, four clauses:

  1. "Confirmed defective units restocked or repaired and delivered within 15 days."
  2. "Round-trip shipping for repairs and restocking borne by the supplier."
  3. "Defect rate above 5%: buyer may require full-lot re-inspection at supplier's cost; above 10%: buyer may cancel the batch for refund."
  4. "While replacements are pending, the supplier provides temporary substitute garments so employees can work."

Clause 4 is the one most buyers never think of — and the most useful in practice.
